Overview
Shout (GetShout.io) provides its services subject to these terms. By accessing the platform, users agree to be bound by all terms contained herein. The service is restricted to users 13 years of age or older.
1. Account & Service Responsibilities
Account Management: Users must maintain secure passwords and are solely responsible for all account activity. Unauthorized uses must be reported immediately to Shout.
Influencer Relationships: You are responsible for conducting due diligence on each influencer before entering a relationship.
Payment Terms: Subscription fees are charged on a pre-pay basis. Subscriptions automatically renew unless canceled before the period ends through the Shout dashboard.
Privacy Consent: Users grant permission for Shout to publicly display their company name, logo, clients, and client logos on the Shout website.
2. Changes to Terms
Material changes to terms will be communicated via blog, email, or notice before taking effect. Continued service use following notice constitutes acceptance of revised terms.
3. Termination
Shout may terminate access at any time with or without cause. Users may discontinue services anytime. Surviving provisions include ownership rights and liability limitations.
4. Disclaimers
Services are provided "as is" with no warranties regarding merchantability, fitness, accuracy, or uninterrupted access. There are no guarantees of accuracy or validity, but data is gathered and provided to the best of our knowledge.
5. Jurisdiction
Ontario, Canada law governs this agreement. Disputes fall under Norfolk County, Ontario courts.
6. Liability Limits
Shout's liability is capped at fees paid during the preceding 12 months. The company isn't liable for consequential damages, data loss, or service interruptions beyond reasonable control.
7. Indemnification
Users indemnify Shout against claims arising from their service use or agreement violations.
8. Translation
English is the controlling version. Conflicts between translations and English default to English.
9. Use Restrictions
Users cannot:
- Reverse engineer or decompile the service
- Modify or reproduce associated software
- Harvest email addresses or personal data
- Engage in unlawful, offensive, or threatening conduct
- Attempt unauthorized access
- Interfere with service operation or other users
10. Miscellaneous
This agreement constitutes the entire understanding and may only be modified by written amendment from authorized Shout personnel. Invalid provisions are reformed to reflect original intent while remaining portions stay enforceable.
